"Company" means GOAT Financial and its owners, affiliates, officers, directors, employees, and agents. "Content" means all data, analytics, signals, scores, ratings, rankings, tiers, trade instructions, predictions, and any other outputs generated by the Platform. "User" means any individual or entity accessing or using the Platform.
In these Terms, singular includes plural and vice versa. Headings are for reference only and do not affect interpretation.
The GOAT Financial Terminal is a financial data aggregation, statistical analysis, and quantitative research platform provided for informational and educational purposes only. The Platform aggregates publicly available market data, provides statistical analysis based on historical and real-time information, displays third-party financial data, generates algorithmic signals using proprietary quantitative models, and offers data analysis and visualization tools.
The Platform makes no representations regarding investment outcomes. All projections, signals, scores, and predictions are hypothetical outputs of quantitative models. Past performance does not guarantee future results.
By using the Service, you represent and warrant that you:
Trading and investing in securities, options, futures, cryptocurrencies, and other financial instruments involves substantial risk of loss and is not suitable for all investors. You may lose some or all of your invested capital. The value of investments can decrease as well as increase. Leveraged products such as options, futures, and margin trading carry additional risks, including the possibility of losing more than your initial investment.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, NON-INFRINGEMENT, AND AVAILABILITY.
The Company makes no warranty or guarantee regarding the accuracy, completeness, reliability, timeliness, or availability of any data, including but not limited to: market prices, financial statements, economic indicators, options data, dark pool data, institutional flow data, sentiment data, or any other data displayed on the Platform.
References to dark pool activity, whale transactions, institutional flow, smart money, congressional trading, and similar data are derived from publicly available information, quantitative models, and algorithmic analysis. This data may be estimated, delayed, aggregated, or modeled and does not represent actual real-time proprietary trading desk data. The Platform does not have direct access to dark pool order books.
References to "Willingham Quantum Fund," "GOAT Absolute Return Fund," or any other fund names are used for illustrative, educational, and analytical demonstration purposes. These represent model portfolios or hypothetical allocations and do not necessarily represent actual pooled investment vehicles registered under the Investment Company Act of 1940.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
LIABILITY CAP: The Company's total aggregate liability shall not exceed the greater of: (a) amounts paid by you to the Company in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100 USD).
You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: your access to or use of the Platform; your violation of these Terms; your violation of any applicable law or third-party rights; any investment or trading decisions you make; your negligence or willful misconduct.
Before filing a formal claim, you must contact the Company at legal@goatfinancial.com and allow sixty (60) days for good-faith negotiation.
All disputes not resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in Nashville, Tennessee. The arbitrator's decision shall be final and binding.
YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS. All claims must be brought individually. You also waive your right to a jury trial.
The Company owns all intellectual property rights in the Platform, including but not limited to: the GOAT Financial name, logo, and brand; all software, algorithms, models, and source code; all website and application design; all Content created by or for the Company; the GOAT scoring methodology, tier system, QUAD codes, and analytical frameworks.
Users receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only. Users may not copy, modify, reverse engineer, scrape, redistribute, resell, or sublicense access.
Our Privacy Policy is incorporated by reference into these Terms. The Company complies with applicable data protection laws including GDPR, CCPA/CPRA, VCDPA, and CPA.
Subscription tiers and pricing are displayed on the Platform. Subscriptions automatically renew unless cancelled. ALL SALES ARE FINAL. No refunds are provided due to immediate digital access, except at the Company's sole discretion for documented technical issues, duplicate charges, or first-time subscribers within 48 hours who have not accessed premium features.
Users are solely responsible for ensuring their use of the Platform complies with all applicable federal, state, local, and international laws and regulations. The Platform is not intended for use in any jurisdiction where such use would violate applicable law. Users may not access the Platform from sanctioned countries.
Governing Law: These Terms shall be governed by the laws of the State of Tennessee, without regard to conflict of law principles.
Entire Agreement: These Terms, the Privacy Policy, and any incorporated documents constitute the entire agreement between you and the Company.
Severability: If any provision is unenforceable, it shall be modified to the minimum extent necessary; remaining provisions continue in full force.
Waiver: Failure to enforce any provision shall not constitute a waiver.
Assignment: You may not assign these Terms without consent; the Company may assign freely.
Force Majeure: The Company is not liable for delays or failures caused by circumstances beyond reasonable control.
Survival: Disclaimers, liability limitations, indemnification, intellectual property, and dispute resolution provisions survive termination.
